Rules of the Limerick Flying Club (Coonagh) Ltd.

I. NAME, ADDRESS AND OBJECTS OF THE CLUB

Name

1. The Club shall be known as the Limerick Flying Club (Coonagh), Ltd.

Address

2. The address of the Club shall be at Coonagh Airfield.

Objects

3. The Objects of the club are to provide facilities to enable flying in the private category to its members and to provide flight training for its members up to the Private Pilots License (PPL) level.

4. Limerick Flying Club (Coonagh), Ltd. is a limited company as per the Company Act, and the Memorandum and Articles of Association of the Company may be examined at the Club office.

II. MEMBERSHIP

Entry into Membership

5. The Club shall consist of any number of persons who accept the principles, objects and methods of the Club and whose applications for membership are accepted by the Committee.

6. The Committee shall have power to refuse admission to or cancel the membership of any person who, in their opinion, is not desirable as a member of the Club, and to cancel the membership of any member that has been obtained by fraud or misrepresentation.

7. Every application for membership shall be made in a form prescribed by the Committee and shall be accompanied by the deposit of the appropriate Membership Fee, which shall be returned if the application is rejected. The application form shall be posted on the notice board in the Clubhouse for inspection by existing members, who are entitled to raise an objection to the Committee regarding the proposed member. A meeting of the club’s committee or members’ body can approve an application for membership if the application has been displayed in the clubhouse for a minimum of 3 days.

8. Every new member shall be subject to a probation period of six months from the date his application is accepted by the Committee. The Committee may terminate the membership of a probationary member who is deemed to have been guilty of unbecoming conduct or whose conduct is inimical to the interests of other members.

9. Each new member shall agree to be governed by the Rules, By-laws and Regulations of the Club which are available for inspection in the clubhouse and published on the club’s website. Members can be issued with a personal copy of the Rules of the Club on request.

Types of Membership.

10. Flying Members: - persons who have paid the appropriate Membership Fee in order to fly as student pilots or as Pilot in Command.

11. Associate Members: - persons who have paid a reduced Membership Fee in order to avail of the club facilities without taking lessons or flying as Pilot in Command.

12. Junior Members - persons below the age of 15 years who wish to avail of the club facilities, but are below the legal age to take flying lessons.

13. Day Members - in order that persons with a desire to take flying lessons may determine if such an activity really suits them, a Day Member category exists. Application for day membership must be made on a day membership application form which must be processed in the manner described in para 7 above. The fee for day membership is included in the cost of an introductory flight voucher which must be purchased prior to applying for day membership. If an applicant for day membership is unsuccessful the cost of the introductory flight voucher will be refunded to the purchaser in full. Any individual using the day membership arrangement may take a maximum of three introductory flying lessons; thereafter full membership must be applied for. Day membership is limited to those days upon which a flying lesson takes place.

Membership Fee

14. The Membership Fee shall be a sum paid yearly to the Club as fixed by the Committee with the consent of the voting membership. In the case of new members joining late in the year, a reduced Membership Fee may be collected for that year. Previous Members are required to pay the full Membership Fee for the current Membership Year, regardless of how long their lapse of Membership has been.

15. In the case of an institution wishing to take out membership for a group, the Committee may arrange a special membership fee for this group, reserving a fixed number of membership "slots". The person who fills each membership slot must be explicitly named. Such members will be considered Flying Members with all privileges associated with that status.

16. The Yearly Membership Fee for the coming membership year must be paid before the beginning of that calendar year (1st January). Any person who has not paid his Membership Fee for the current membership year is no longer a Member and is expressly forbidden to fly as Pilot in Command or to take instruction in a club aircraft until he has been reinstated into Membership by payment of his Membership Fee.

Lapse of Membership

17. Membership of the Club lapses at Midnight of the last day of the current Membership year. Until the Membership Fee for the year following has been paid, the person is no longer a Member and loses all privileges associated with Membership.

18. Any paid up Member desiring to resign his membership of the Club shall give notice in writing thereof to the Secretary. His membership will be deemed to have terminated at midnight of the day such notice is received.

Discipline of Members

19. a) A member who is deemed to have been guilty of conduct unbecoming that of a member, or whose conduct is inimical to the interests of other members may be:

i) cautioned, verbally or in writing.

ii) debarred from using Club facilities and attending meetings for a period as decided;

iii) debarred from holding office or participating in any way in Club administration for a period as decided;

iv) expelled from membership.

v) in the case of damage to Club property or aircraft due to negligent or malicious action, or when operating in contravention of the Club Operating Procedures, the member may be required to reimburse the Club for the repair of such damage.

c) Any member upon whom one of the penalties above has been imposed by the Committee may appeal the decision in writing to the Committee, provided such appeal is received at the airfield not later than twenty one days after the date on which the decision of the Committee is notified to the member. Except in the case of Expulsion (see part (d) of this section), the decision of the Committee on such an appeal shall be final.

d) Any member who has been expelled after an appeal has as a final recourse the right to petition members to obtain sufficient support to call an Extraordinary General Meeting. The Committee must receive the necessary documents within thirty calendar days of the expulsion taking place.

III. THE CLUB DATES

Fiscal Year

20. The Club Fiscal year shall commence on the 1st of September in each year and terminate on the 31st of August in the following year.

Membership Year

21. The Membership year shall commence on the 1st of January in each year and terminate on the 31st of December in the same year.

IV. CLUB MEETINGS

Voting Rights

22. Only Flying Members as defined in Section 10, whose Membership Fee has been paid for the current membership year are entitled to vote at any meeting during that year. Each member entitled to vote shall have one vote. Votes may either be given personally or by proxy. The instrument appointing a proxy shall be in writing under the hand of the appointer in the format laid down in Appendix A and must be deposited at the airfield not less than 48 hours before the meeting.

23. Voting shall be by a show of hands unless a poll is demanded (before or on the declaration of the result of the show of hands) by:

1. the Chairman; or

2. at least three members present in person or by proxy.

Notice of General Meetings

24. A General Meeting shall be called by at least 21 days' notice in writing. The notice shall be exclusive of the day on which it is served or deemed to be served and of the day for which it is given. Where a notice is sent by post, service of the notice shall be deemed to be effected at the expiration of 24 hours after the letter is posted.

25. The accidental omission to give notice of a meeting to, or the non-receipt of notice of a meeting by, any person entitled to receive notice shall not invalidate the proceedings of that meeting.

Chairman

26. The Chairman of the Committee shall preside as chairman at every General Meeting, or if he is not present the members of the Committee present shall elect one of their members to be the chairman of the meeting.

Annual General Meeting

27. The Annual General Meeting shall be held within 60 days after the end of the Club Fiscal year. All members entitled to attend shall be notified as per section 24.

28. A Quorum at the Annual General Meeting shall consist of one third of the current Membership Year's voting members as defined in Section 22 of these rules.

Extraordinary General Meeting

29. An Extraordinary General Meeting may be called at the discretion of the Committee or upon presentation to the Committee of a document signed by one third of the voting membership registered on the date the document is presented requiring the Committee to call such a meeting. All members entitled to attend the Extraordinary General Meeting shall be notified as per section 24.

V. THE COMMITTEE

30. The Club Committee, whose officers shall be elected at the Annual General Meeting of the Club, shall manage the business and affairs of the Club.

31. The Committee shall consist of not less than five and not more than seven ordinary members. Only Flying Members as defined in Section 10, whose Membership Fee has been paid for the current membership year, are entitled hold office within the Club. The Committee shall, at its first meeting, elect a Chairman, Secretary and Treasurer from its numbers.

32. A Chief Flying Instructor, who is appointed by the Committee, shall be an ex-officio officer of the Committee. The term of office of the Chief Flying Instructor shall last until terminated by the Committee or until the resignation of the Chief Flying Instructor.

Rotation of Committee

33. At the Annual General Meeting every year, one half of the Committee, or if their number is not a multiple of two, then the number below one half, shall retire from office. The members of the Committee to retire in every year shall be those who have been longest in office since the last election.

Proposal of Candidates

34 No person (other than a member of the Committee retiring at the meeting) shall, unless recommended by the Committee, be eligible for election to the Committee unless, not less than 3 nor more than 21 days before the meeting, there has been left at the office notice in writing signed by a member qualified to vote at the meeting, proposing such a person for election and also notice in writing signed by that person of their willingness to be elected.

35. Should insufficient nominations be received to fill the Committee to the minimum numbers, the Annual General Meeting must be adjourned, and an Extraordinary General Meeting called to hold another election.

36. Members may not be appointed to, or elected to, or continue to hold office if their Membership Fee has not been paid for that Membership Year.

37. The incoming Committee after each Annual General Meeting shall be deemed to have been elected directors of the Company. All previous directors shall automatically resign.

38. Those entitled to vote for the Committee candidates at the Annual General Meeting are those voting members as defined in section 22 of these rules.

39. The first meeting of the Club Committee/Directors in each year shall be held within one calendar month following the Annual General Meeting and the other ordinary meetings of the Committee shall be held at such times and places as the said Committee shall deem necessary.

40. During the year, the Committee may fill any vacancies that arise by co-option.

VI. ALTERATIONS TO THE RULES

41. No new rule shall be made, nor shall any rule herein contained or hereafter to be made, be amended or rescinded except in accordance with a resolution duly passed by a majority vote at an Annual or Extraordinary General Meeting. Notification of those members entitled to attend must include a copy of the proposed changes.
